Welcome to WeHospo (“WeHospo”, “we”, “us”, “our”). These Terms & Conditions govern your access to and use of the WeHospo website, platform, and related services (the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Eligibility

You may only use the Platform if you:

• Are at least 18 years old

• Are authorised to represent a business entity

• Use the Platform for business purposes only

• Provide accurate and complete information

WeHospo is intended solely for commercial users within the hospitality and food service industry.

3. Account Registration

To access certain features, you must create an account.

You agree to:

• Maintain the confidentiality of your login credentials

• Notify us immediately of any unauthorised use

• Ensure all account information is accurate and up to date

• Accept responsibility for all activity under your account

WeHospo reserves the right to suspend or terminate accounts at its discretion.

4. Platform Services

WeHospo operates an online marketplace connecting hospitality businesses (“Buyers”) with suppliers and service providers (“Suppliers”).

Platform features may include:

• Supplier listings

• Product catalogues

• Group purchasing functionality

• Order management tools

• Communication tools

• CRM and budgeting tools

• Other business services

WeHospo acts solely as an intermediary and does not manufacture, store, or supply goods unless explicitly stated.

5. Supplier Responsibilities

Suppliers agree to:

• Provide accurate product descriptions and pricing

• Honour orders placed through the Platform

• Comply with all applicable laws and regulations

• Maintain necessary licences and approvals

• Deliver goods and services as described

WeHospo is not responsible for Supplier performance or conduct.

6. Buyer Responsibilities

Buyers agree to:

• Provide accurate business information

• Place orders in good faith

• Pay invoices according to agreed terms

• Comply with applicable laws

• Use purchased goods appropriately

Failure to comply may result in suspension or termination of access.

7. Orders & Transactions

Transactions are conducted directly between Buyers and Suppliers.

WeHospo:

• Facilitates connections and ordering

• May provide payment processing services where applicable

• Does not guarantee product availability or quality

• Is not a party to the underlying supply contract

Disputes must first be addressed directly between Buyer and Supplier.

8. Fees & Payments

WeHospo may charge fees for certain services, including:

• Subscription fees

• Transaction fees

• Premium listings

• Advertising services

All applicable fees will be disclosed prior to being charged.

Payments are non-refundable except where required by law.

9. Intellectual Property

All content on the Platform, including text, graphics, logos, software, and design, is owned by or licensed to WeHospo.

You must not:

• Copy or reproduce Platform content without permission

• Reverse engineer or interfere with the software

• Use WeHospo branding without authorisation

• Create derivative works

10. Acceptable Use

You must not use the Platform to:

• Violate any law or regulation

• Upload false or misleading information

• Interfere with security or functionality

• Attempt unauthorised access

• Transmit harmful or malicious content

• Infringe intellectual property rights

11. Privacy

Your use of the Platform is also governed by our Privacy Policy.

12. Limitation of Liability

To the maximum extent permitted by law:

• The Platform is provided “as is”

• WeHospo does not guarantee uninterrupted or error-free service

• WeHospo is not liable for indirect or consequential loss

• Total liability is limited to fees paid to WeHospo in the previous 12 months

Nothing excludes rights under the Australian Consumer Law.

13. Indemnity

You agree to indemnify WeHospo against claims, losses, damages, and expenses arising from:

• Your breach of these Terms

• Your misuse of the Platform

• Your dealings with other users

• Your violation of any law

14. Suspension & Termination

WeHospo may suspend or terminate access if you:

• Breach these Terms

• Provide false information

• Engage in harmful conduct

• Fail to pay applicable fees

You may terminate your account at any time.

15. Changes to the Platform

WeHospo may modify or discontinue features at any time without notice.

16. Governing Law

These Terms are governed by the laws of Victoria, Australia.
